Most sectors permit 100% FDI under the automatic route. We set up your Wholly Owned Subsidiary, complete RBI/FEMA reporting including FC-GPR filings, and structure the entity for the 22% concessional rate (~25.17% effective under the Income-tax Act, 2025 (formerly section 115BAA of the 1961 Act)).

Why compliance actually matters

In short: Missed ROC, GST and FEMA filings quickly become expensive — daily penalties, director disqualification, strike-off risk and blocked funding rounds. Managed compliance keeps costs predictable and your cap table clean.

The Registrar of Companies charges additional fees of ₹100 per day per form for delayed annual filings, with no cap. Persistent defaults can lead to director disqualification under Section 164(2), company strike-off, and prosecution of directors and officers-in-default.

On the tax side, GST and Income-tax penalties compound quickly, and FEMA lapses on FDI reporting (FC-GPR, FLA) draw compounding under RBI's compounding rules. Investors and acquirers also discount valuations sharply when diligence turns up unfixed compliance gaps — often a bigger cost than the penalties themselves.

Frequently asked questions

How does a foreign company set up in India?
A foreign company can incorporate an Indian subsidiary under the Companies Act, 2013, or establish a permitted branch, liaison or project office under FEMA. Subsidiary setup involves checking the FDI route, legalising parent documents, filing SPICe+, appointing directors, opening a bank account and completing applicable RBI investment reporting.Foreign company formation in India
Can a foreign company own 100% of an Indian company?
Yes, where the sector permits 100% foreign direct investment under the automatic route. The FEMA Non-Debt Instruments Rules, 2019 govern eligibility, sector caps and conditions. Restricted sectors and certain land-border-linked investments require government approval. Automatic-route investment still requires applicable pricing, share-allotment reporting and ongoing RBI filings.FDI routes and RBI filings
What is the best entry structure — subsidiary, branch or liaison office?
The best structure depends on intended activities, liability and tax exposure. A subsidiary is a separate Indian company suitable for trading and hiring, subject to FDI conditions. A branch undertakes only permitted activities under FEMA; a liaison office represents the parent but cannot conduct commercial business or earn income in India.Compare subsidiary, branch, liaison and project offices
How long does it take and what does it cost to set up a company in India?
Incorporation through MCA’s SPICe+ typically takes about 7–15 working days once complete documents are ready; foreign-document legalisation and bank checks can extend the overall timeline. Costs include statutory filing charges, state-dependent stamp duty, digital signatures and engagement-specific professional fees. The structure, authorised capital and documentation determine the quotation.Company setup costs and timeline in India
Can a foreign parent repatriate profits from India?
Yes. An Indian subsidiary may distribute dividends from eligible profits under Section 123 of the Companies Act, 2013. Payments to the foreign parent require applicable withholding under section 393 of the Income-tax Act, 2025 (formerly section 195 of the 1961 Act), treaty assessment and bank documentation, including Form 145 (formerly Form 15CA) and Form 146 (formerly Form 15CB) where required. Exit proceeds follow separate FEMA rules.Profit repatriation from India
